The D-Rom Service
D-Rom operates an online service from www.d-rom.com and from other locations from time to time (“D-Rom Website”) where professional club DJs who register with D-Rom (“Registered DJs”) may:
1.download promotional recordings for free from record labels and producers who have supplied recordings to D-Rom for that purpose;
2.select recordings from record labels and producers from the D-Rom Website in order to create mix compilation albums (“DJ Mix Albums”) to be promoted and sold to the public.
In order to use the D-Rom Service, DJs must be represented by a professional DJ agency and must register with D-Rom.
When compiling a DJ Mix Album, a Registered DJ must first submit a list to D-Rom of the recordings that they wish to include in their DJ Mix Album. D-Rom will notify the DJ of those recordings that have been licensed and cleared for use in DJ Mix Albums. The DJ will then be entitled to use those licensed recordings in a DJ Mix Album which will be uploaded to the D-Rom Website and made available for sale to the public in digital formats via the D-Rom website and D-Rom’s digital distribution partners.
If you are a record label or record producer and wish to supply sound recordings to D-Rom for use in the D-Rom Service, you will enter into a licence agreement (“the Licence Agreement”) with D-Rom entitling D-Rom to use your sound recordings in the D-Rom Service throughout the world and D-Rom shall pay you royalties for any sales of DJ Mix Albums embodying your sound recordings.
D-Rom also offers a digital distribution service, called the 3G Service, through which unbundled individual sound recordings are sold. You may select the 3G Service for all of your sound recordings or alternatively for sound recordings on a case by case basis. The terms and conditions for the 3G Service are contained in the Licence Agreement.
D-Rom will provide you with a Licence Agreement to sign before you deliver your sound recordings into the D-Rom Service but for you information, some of the terms of the Licence Agreement are summarised to the right:
Summary of Terms
TERM
5 years from the date of this Agreement and then renewing for 5-year periods.
MASTERS
All sound recordings owned and/or controlled by you during the Term.
TERRITORY
The Universe.
USES
D-Rom is granted the non-exclusive right during the Term to:
•include and couple Masters with other recordings in DJ Mix Albums created by registered DJs for sale to public via the D-Rom Website and through D-Rom’s digital distributor and digital retailers and other means from time to time;
•use of extracts from DJ Mix Albums (whether containing Masters or not) for free for the purposes of promoting DJ Mix Albums.
•sell, distribution and commercial exploitation of DJ Mix Albums containing Masters (or any part thereof) in all digital formats
•Distribute transmit, make available and sell full track Masters unbundled from the DJ Mix Album in all digital formats (if you select the 3G Service option)
ROYALTY
A share of all income received by D-Rom from the sale of DJ Mix Albums containing the Masters (or any part thereof) less VAT and less any mechanical copyright payments and digital encoding costs and subject to pro rating by number of tracks used.
META DATA
Label to supply meta-data reasonably requested by D-Rom for each Master delivered to D-Rom.
NAME AND LOGO
D-Rom may use the Label’s name and logo and the artists’ names, likenesses and biographies in connection with its permitted use of the Masters.
ACCOUNTING
Quarterly within 60 days of the end of each calendar quarter.
OWNERSHIP
D-Rom shall own all rights in the DJ Mix Albums.
WARRANTIES
Label warrants that it is fully entitled to enter into this Agreement and to license the rights granted hereunder. Label’s entering into this Agreement and D-Rom’s performance of this Agreement shall not infringe the rights of any third party. Masters shall not contain anything that is offensive, defamatory or infringes any third party’s rights. Label hereby indemnifies D-Rom on demand against any costs, damages, expenses and any other loss without limit suffered by D-Rom as a result of any breach of Label’s warranties and agreements under this Deal Memo.
